1. These Terms apply to all users of the Site, including without limitation users who are browsers, customers, vendors, merchants, or contributors of content.

2. Morphologic reserves the right to amend or modify these Terms at any time in its sole discretion. Any such amendments shall become effective upon being published on the Site. It is your responsibility to periodically review these Terms to ensure that you remain informed of any changes.

3. By accessing or using the Site, you represent and warrant that you are at least 18 years of age and possess the legal capacity to enter into binding contracts under applicable law.

4. You agree to use the Site solely for lawful purposes and in a manner that does not infringe the rights or restrict or inhibit the use and enjoyment of the Site by any third party. Without limiting the foregoing, you agree not to:

‍   1. Engage in any conduct that would violate any applicable laws or regulations;
   2. Use the Site in any manner that could damage, disable, overburden, or impair its availability or performance;
   3. Interfere with the security or integrity of the Site or its systems;
   4. Upload or transmit any viruses, malware, or other malicious code.

5. While Morphologic endeavors to ensure that the Site is accessible at all times, we do not guarantee uninterrupted or error-free access to the Site, nor do we warrant that the Site or any part thereof will be available at all times or in all locations.

6. Morphologic reserves the right, without prior notice or liability, to modify, suspend, or discontinue the Site or any part thereof, including access to the E-Shop or digital assets.

7. The Site, including all content and digital assets, is provided “as is” and “as available,” without any warranties, representations, or conditions of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

8. To the fullest extent permitted by law, Morphologic disclaims any liability for direct, indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your access to or use of the Site or any content thereon.

9. Your use of the Site may involve the collection and processing of your personal data. Such processing is subject to our Privacy and Cookies Policy, both of which are incorporated by reference into these Terms; see the Privacy and Cookies Policy here: [...].

10. Morphologic acts as a data controller and undertakes to process personal data in accordance with the Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, and repealing Directive 95/46/EC (General Data Protection Regulation) (the “GDPR”) and relevant Czech data protection legislation, including implementing legislation and relevant bylaws.

11. To access certain features of the Site, including the E-Shop, you may be required to create a user account. You agree to provide accurate, complete, and up-to-date information when registering and to maintain the confidentiality of your account credentials.

12. You are solely responsible for all activities that occur under your account and agree to notify Morphologic immediately of any unauthorized access or breach of security.

13. The Site may offer digital visual assets for sale through its E-Shop. By purchasing such assets, you acknowledge and agree that your use of the digital content is governed by a separate license agreement specific to the purchased item and form of license selected when purchasing.

14. The license applicable to each digital asset will be made available at the point of purchase and must be expressly accepted prior to downloading the asset. These license terms prevail over these Terms with respect to the scope of rights granted.

15. Any terms used herein may be subject to a definition by the license terms; in such a case, the same definition of such a term shall be understood for the purpose of and used to construe these Terms, where applicable.

All intellectual property rights in and to the Site, its structure, layout, software, source code, databases, trademarks, trade names, service marks, logos, graphics, user interfaces, and digital assets (incl. their Product Previews), whether registered or unregistered, are and shall remain the exclusive property of Morphologic or its licensors.

18. Nothing contained on the Site or in these Terms shall be construed as granting, whether explicitly, implicitly, by estoppel or otherwise, any license or right to use any intellectual property without the prior written consent of Morphologic. Any unauthorized use, reproduction, distribution, or modification of any part of the Site or its content is strictly prohibited and may result in civil or criminal liability.

19. The use of any content, materials, or data obtained from this Site (including but not limited to images, visual assets, textual data, layout, or metadata) for the purpose of training, finetuning, evaluating, benchmarking, or otherwise enhancing any machine learning system or artificial intelligence model (including but not limited to large language models, generative AI systems, or neural networks), whether for commercial or non-commercial purposes, is strictly prohibited.

20. This restriction applies to all automated or programmatic access, including crawling, scraping, or dataset compilation, regardless of the technical method used or the intent behind such activities.

21. Any breach of this clause shall constitute a material breach of these Terms and entitle Morphologic to pursue all available legal and equitable remedies, including but not limited to injunctive relief and compensation for damages.

22. These Terms shall be governed by and construed in accordance with the laws of the Czech Republic, without regard to its conflict of law provisions.

23. Any dispute, controversy, or claim arising out of or in connection with these Terms, including the validity, breach, or termination thereof, shall be submitted to the exclusive jurisdiction of the competent courts of the Czech Republic.
